Dialist Secure Checkout & Return Policy

The Dialist Secure Checkout & Return Policy (“Policy”) establishes the terms, conditions, procedures, rights, and responsibilities governing transactions completed through Dialist Secure Checkout. This Policy is intended to provide a secure and transparent transaction framework for Buyers and Sellers utilizing the Dialist Marketplace by outlining the procedures for payment processing, order fulfillment, shipping, authentication, inspections, returns, refunds, dispute resolution, and related transaction matters.
This Policy forms an integral part of the Dialist Terms & Conditions and is incorporated therein by reference. By accessing or using Dialist Secure Checkout, completing a transaction through the Dialist Marketplace, or otherwise accepting the Dialist Terms & Conditions, each Buyer and Seller acknowledges that they have read, understood, and agree to be legally bound by this Policy. In the event of any conflict between this Policy and the Dialist Terms & Conditions with respect to Secure Checkout transactions, this Policy shall govern to the extent of such conflict.
This Policy applies exclusively to transactions completed through the Dialist Marketplace utilizing Dialist Secure Checkout, where payment is processed through Dialist’s approved third-party payment processors, banking partners, or other authorized payment infrastructure designated by Dialist.
This Policy applies to transactions involving, without limitation:
For the purposes of this Policy, a “Buyer” means any individual, business, dealer, corporation, partnership, organization, or other legal entity purchasing products through Dialist Secure Checkout.
Unless expressly stated otherwise in writing by Dialist, this Policy does not apply to:
Dealer-to-dealer transactions conducted through the Dialist Private Exchange are independent commercial transactions entered into directly between participating dealers and are governed solely by the applicable Private Exchange Terms & Conditions and any agreements entered into between those parties. Dialist does not process payments, provide Secure Checkout protections, administer returns, or otherwise facilitate payment obligations for such transactions.
Where Dialist Secure Checkout is offered for a transaction within the Dialist Marketplace, its use is mandatory. Buyers and Sellers may not circumvent, bypass, or attempt to avoid Dialist Secure Checkout for Marketplace transactions in order to avoid applicable fees, procedures, protections, or requirements.
Transactions completed outside of Dialist Secure Checkout shall not be eligible for any protections, guarantees, authentication procedures, return rights, refund procedures, dispute resolution mechanisms, or other benefits provided under this Policy.
Dialist’s role varies depending upon the nature of the transaction. The Secure Checkout services described in this Policy are provided by the Dialist entity that is your counterparty under the Dialist Terms & Conditions — for Canadian residents, Dialist Marketplace Inc., an Ontario corporation; for all other users, Dialist Marketplace Inc., a Florida corporation.
For Dealer-owned inventory, Dialist operates as a marketplace platform facilitating listings, communications, payment processing, and transaction administration between Buyers and Sellers. Unless expressly stated otherwise, Dialist is not the owner or seller of Dealer-owned inventory.
For Dialist-owned inventory and inventory consigned to Dialist for sale, Dialist acts as the seller and merchant of record for the applicable transaction — for consigned inventory, the Dialist entity that is party to the applicable Consignment Agreement.
Nothing in this Policy shall be interpreted as creating an agency, partnership, joint venture, fiduciary relationship, employment relationship, or other legal relationship between Dialist and any Buyer or Seller except as expressly provided herein.
Subject to applicable laws, sanctions, export controls, shipping restrictions, payment processor requirements, and Dialist’s operational capabilities, Dialist Secure Checkout may be made available for eligible transactions worldwide. Dialist reserves the right to limit, suspend, or refuse Secure Checkout services in any jurisdiction, country, territory, or transaction at its sole discretion.
Dialist reserves the sole and absolute discretion to determine whether any transaction qualifies for Dialist Secure Checkout.
No transaction shall be entitled to the protections afforded under this Policy unless the transaction is processed through Dialist’s approved payment systems and otherwise satisfies the requirements established by Dialist.
A transaction shall not become eligible for Secure Checkout solely because the parties initially connected through Dialist or because a product was listed on the Dialist Marketplace if payment is ultimately completed outside of Dialist Secure Checkout.
Dialist may expand, modify, discontinue, or introduce new products, product categories, services, transaction types, technologies, or Marketplace features from time to time.
Unless expressly stated otherwise by Dialist, any future products or transaction categories utilizing Dialist Secure Checkout shall automatically become subject to this Policy upon their availability through the Dialist Marketplace.
For the purposes of this Policy, the following terms shall have the meanings set forth below unless the context clearly requires otherwise.
“Authentication” means the process conducted by Dialist or its designated authentication providers to evaluate the Authenticity of a product using such procedures, documentation, inspections, testing methods, equipment, databases, expertise, and other verification methods as Dialist considers appropriate under the circumstances.
Authentication procedures may be modified, expanded, reduced, or updated by Dialist from time to time without prior notice.
“Authenticity” means Dialist’s good-faith professional opinion that, to the best of Dialist’s knowledge, expertise, and reasonable belief at the time of examination, a product appears to be genuine and materially consistent with its represented manufacturer, reference, model, and configuration.
Authentication represents a professional opinion based upon the information, documentation, and examination available at the time of inspection and does not constitute a guarantee, warranty, certification, insurance, or absolute representation that a product is authentic, original, unaltered, free of undisclosed replacement components, counterfeit parts, hidden defects, or other conditions that may not have been reasonably detectable at the time of examination.
“Buyer” means any individual, dealer, business, corporation, partnership, organization, or other legal entity purchasing products through Dialist Secure Checkout.
“Business Day” means any day other than a Saturday, Sunday, or statutory public holiday recognized in the Province of Ontario, Canada.
“Dealer” means a business or individual approved by Dialist to sell inventory through the Dialist Marketplace and maintaining an active Dealer subscription in good standing.
“Delivery” or “Delivered” means the confirmed receipt of a shipment by the Buyer, including where:
The earliest confirmed occurrence of any of the foregoing shall constitute Delivery for the purposes of this Policy.
“Dialist Determination” means any finding, assessment, interpretation, approval, denial, conclusion, opinion, or decision made by Dialist pursuant to this Policy while exercising its rights, responsibilities, or discretion.
Unless otherwise prohibited by applicable law, every Dialist Determination shall be made in good faith after considering the information reasonably available to Dialist at the time.
“Inspection” means any examination or review conducted by Dialist following the shipment, delivery, return, or receipt of a product to evaluate matters including, without limitation, Authenticity, compliance with this Policy, shipping condition, listing accuracy, evidence of tampering, completeness of included items, and any other matter Dialist considers relevant.
Inspection is separate from Authentication and may include matters unrelated to whether a product is genuine.
“Marketplace” means the Dialist online marketplace, including its website, web applications, mobile applications, software platforms, APIs, future digital interfaces, and any other transaction platform operated or designated by Dialist through which Secure Checkout transactions may be conducted.
“Material Misrepresentation” means any false, inaccurate, misleading, omitted, incomplete, or deceptive statement, representation, description, photograph, specification, or other information that could reasonably influence a Buyer’s purchasing decision.
Material Misrepresentation includes, without limitation, inaccuracies relating to authenticity, condition, manufacturer, model, reference number, serial number, production year, ownership history, service history, modifications, aftermarket components, included accessories, documentation, functionality, cosmetic condition, or any other material characteristic of a product.
“Payment Processor” means any third-party payment processor, payment facilitator, financial institution, banking partner, or other payment service provider approved by Dialist for processing transactions conducted through Secure Checkout.
“Return Period” means the period during which a Buyer may request a return pursuant to this Policy, commencing immediately upon confirmed Delivery of the product and continuing for the period specified elsewhere in this Policy.
“Secure Checkout” means Dialist’s transaction management program applicable to eligible Marketplace transactions, including payment processing, return administration, refund management, Seller payout administration, dispute handling, transaction monitoring, and such additional transaction services as Dialist may provide from time to time.
“Seller” means either:
(a) Dialist, when selling Dialist-owned inventory or inventory consigned to Dialist for sale; or
(b) an authorized Dealer maintaining an active Dealer subscription and selling inventory through the Dialist Marketplace utilizing Secure Checkout.
“Return Processing Fee” means an amount equal to the costs and losses Dialist actually incurs and cannot recover in connection with a cancelled or returned transaction, including interchange and other payment-processing costs that are not returned to Dialist, refund administration, transaction handling, fraud monitoring and customer support, outbound and return shipping and insurance costs, authentication and condition-verification costs, and, where the cancellation or return results from Seller fault, the Dialist Secure Checkout Fee that would otherwise have applied, up to a maximum of four and nine-tenths percent (4.9%) of the total transaction value, excluding applicable taxes, duties, shipping charges, and any other fees, assessed in accordance with this Policy where a transaction is cancelled or a product is returned under circumstances giving rise to such fee. Dialist may charge less than that maximum at its discretion, and will provide an itemized statement of the costs charged on request.
Dialist Secure Checkout provides a standardized transaction framework for eligible Marketplace transactions. Secure Checkout is intended to facilitate secure payment processing, transaction monitoring, return administration, refund management, Seller payouts, and dispute resolution while promoting transparency and confidence between Buyers and Sellers.
All transactions conducted through Secure Checkout shall be governed by this Policy in addition to the Dialist Terms & Conditions and any other applicable Dialist policies.
Dialist Secure Checkout is administered in accordance with the following guiding principles:
These guiding principles are intended to assist in the interpretation and administration of this Policy and do not limit any rights or discretion otherwise reserved by Dialist.
Unless otherwise provided by this Policy, Secure Checkout transactions generally proceed in the following sequence:
The foregoing sequence is provided for convenience only. Individual transactions may vary where permitted by this Policy or applicable law.
An Order becomes legally binding immediately upon successful payment authorization through Dialist Secure Checkout.
Following successful payment authorization, neither the Buyer nor the Seller may unilaterally avoid, reject, or refuse the transaction except as expressly permitted under this Policy or authorized by Dialist.
Upon confirmation of a binding Order, the Seller shall:
The Seller acknowledges that failure to comply with these obligations may constitute a breach of this Policy and may result in Order cancellation, account action, financial responsibility, suspension, termination, or other remedies determined by Dialist.
Every shipment completed through Secure Checkout shall:
Sellers may utilize any shipping carrier capable of satisfying the requirements established under this Policy.
The Seller shall promptly provide accurate shipment tracking information following shipment.
Failure to provide valid tracking information may delay transaction processing, Seller payout, dispute resolution, or other Marketplace functions.
Following shipment, Dialist shall make commercially reasonable efforts to provide the Buyer with the applicable shipment tracking information made available by the Seller or carrier.
Prior to shipment, a Buyer may request cancellation of an Order by contacting Dialist at support@dialist.com.
Where a Buyer cancels for reasons within the Buyer’s discretion before the Seller has shipped the Order, the Buyer is responsible only for the payment-processing and administrative costs Dialist actually incurs and cannot recover in connection with the cancelled transaction, not exceeding the Return Processing Fee; Dialist will provide an itemized statement of those costs on request. Where a Buyer cancels for reasons within the Buyer’s discretion after the Seller has shipped the Order, the cancellation is administered as a Buyer Convenience Return and the full Return Processing Fee applies. Cancellations arising because the Buyer did not receive Delivery are governed by Section 4.10 (Lost or Undelivered Shipments), and no fee shall apply to the Buyer in those circumstances.
Submission of a cancellation request does not automatically cancel an Order. Cancellation becomes effective only upon confirmation by Dialist.
Following successful payment authorization, a Seller may not cancel, refuse, or otherwise decline a binding Order without Dialist’s prior written authorization.
The Seller may not cancel an Order due to changes in market value, pricing fluctuations, Buyer identity, inventory preference, or any other discretionary reason.
Unauthorized Seller cancellations constitute a breach of this Policy and may result in financial responsibility, account action, suspension, termination, or other remedies determined by Dialist.
Dialist reserves the right to cancel any transaction prior to shipment where Dialist reasonably determines that cancellation is necessary or appropriate, including, without limitation:
Where Dialist cancels a transaction for reasons not attributable to either party, neither the Buyer nor the Seller shall be responsible for any Return Processing Fee.
Where Dialist cancels a transaction due to the Seller’s failure to ship within the required timeframe or other Seller breach, the Seller shall be responsible for the applicable Return Processing Fee, up to four and nine-tenths percent (4.9%) of the total transaction value.
All payments are processed and held by Dialist’s Payment Processor; Dialist does not itself take custody of transaction funds, and directs the Payment Processor to release, refund, or continue to hold funds in accordance with this Policy. Each Seller appoints Dialist as its limited agent solely for the purpose of directing the collection and settlement of Buyer payments, and a Buyer’s payment accepted by the Payment Processor discharges the Buyer’s payment obligation to the Seller to the extent of the amount paid. Seller funds shall remain unavailable during the Return Period.
Provided that:
Seller funds shall be automatically released in accordance with Dialist’s payment procedures.
Nothing in this Section obligates Dialist to release funds where Dialist is legally prohibited or otherwise authorized under this Policy to temporarily withhold payment.
Dialist may administer, suspend, delay, investigate, modify, or otherwise manage any Secure Checkout transaction where Dialist reasonably determines that doing so is necessary to protect Buyers, Sellers, the Marketplace, applicable payment systems, regulatory compliance, or the integrity of Secure Checkout.
Any Dialist Determination made pursuant to this Section shall be exercised in good faith and in accordance with this Policy.
All products sold through Dialist Secure Checkout shall be shipped in accordance with this Policy. Sellers are solely responsible for ensuring that every shipment complies with the requirements set forth herein.
Failure to comply with these Shipping & Delivery Requirements may result in delayed Seller payouts, denial of insurance-related claims, denial of reimbursement requests, Order cancellation, assessment of applicable fees, suspension or termination of Marketplace privileges, or any other Dialist Determination deemed appropriate under the circumstances.
The Seller shall package every shipment in a commercially reasonable manner appropriate for the nature and value of the product being shipped.
At a minimum, every shipment shall:
Dialist reserves the right to establish additional packaging standards from time to time.
The Seller shall create and retain continuous, unedited video documentation of the entire packaging process for every shipment completed through Secure Checkout.
At a minimum, the recording shall clearly document:
The Seller shall preserve such recordings and produce them upon Dialist’s request.
These documentation requirements are in addition to any authentication, condition, intake, or listing documentation otherwise required under any other applicable Dialist policy or agreement.
Immediately upon Delivery, and prior to opening the shipment, the Buyer shall create continuous, unedited video documentation of the complete unboxing process.
The recording shall begin before the shipping package is opened and shall clearly document, where reasonably applicable:
The Buyer shall preserve such recordings and provide them to Dialist upon request.
Failure to comply with these documentation requirements may materially affect Dialist’s ability to investigate claims arising from Delivery, damage, missing items, or other shipping-related disputes.
Every shipment shall be insured for the full transaction value of the Order.
The shipping party shall be solely responsible for obtaining and maintaining adequate insurance coverage until Delivery.
Failure to obtain insurance covering the full transaction value constitutes a material violation of this Policy.
Where a shipment is inadequately insured, the responsible shipping party shall bear sole responsibility for any uninsured loss or damage. Dialist shall have no obligation to reimburse, compensate, indemnify, or otherwise assume responsibility for losses resulting from insufficient insurance coverage.
Every shipment shall utilize a shipping service capable of providing end-to-end shipment tracking.
The Seller shall promptly provide accurate tracking information following shipment.
Failure to provide valid tracking information may delay Seller payouts, investigations, dispute resolution, or other Marketplace processes.
Unless otherwise approved in writing by Dialist:
These requirements are intended to reduce fraud, theft, and unauthorized deliveries involving high-value products.
The Buyer is solely responsible for ensuring that the shipping address provided at checkout is complete and accurate.
Requests to modify a shipping address following Order confirmation are not guaranteed and remain subject to Dialist’s approval.
Where an address change is approved:
Where an incorrect address supplied by the Buyer results in additional shipping expenses, returned shipments, or failed deliveries, the Buyer shall remain responsible for all resulting shipping costs.
Where a shipment or product appears damaged upon Delivery, the Buyer shall:
Failure to timely report shipping damage or preserve relevant evidence may affect Dialist’s ability to investigate the claim and may be considered when making a Dialist Determination.
Until the Buyer has received Delivery, responsibility for a shipment that is lost, misdirected, delayed beyond a reasonable period, or otherwise not received rests with the shipping carrier and, where applicable under Section 5.9, the Seller. The Buyer bears no responsibility for a shipment that has not been delivered to them.
Where the Buyer has not received Delivery, Dialist shall refund the Buyer in accordance with this Policy, and no Return Processing Fee or other fee under this Policy shall apply to the Buyer. Before issuing a refund, Dialist will make commercially reasonable efforts to trace and locate the shipment with the applicable carrier.
The Seller shall pursue any available insurance claim or carrier claim arising from the shipment.
Where the shipment was properly insured as required under this Policy, any insurance recovery shall belong to the party suffering the financial loss.
Where Dialist determines that a Buyer has fraudulently claimed non-receipt of a shipment that was in fact received, Dialist may deny or reverse any associated refund, recover any funds already disbursed, suspend or terminate the Buyer's Marketplace privileges, and pursue legal action, in addition to any other remedy available under Section 9.9 (Fraudulent Chargebacks), Section 10 (Marketplace Integrity, Fraud Prevention & Enforcement), or applicable law.
For international transactions, the Buyer shall remain solely responsible for all applicable:
Dialist makes no representation regarding customs processing times, import requirements, or governmental approvals.
Dialist reserves the right to refuse, delay, suspend, or prohibit shipments to any jurisdiction where shipment would violate applicable law, sanctions, export controls, carrier restrictions, insurance limitations, governmental requirements, or any Dialist policy.
Carrier delays occurring after proper shipment shall not, by themselves, constitute a breach of this Policy by either the Buyer or the Seller.
Neither party shall incur liability solely because a carrier experiences delays outside the reasonable control of the parties.
Unless expressly authorized in writing by Dialist, every Order shall be shipped as a single complete shipment.
Products, accessories, presentation boxes, warranty cards, certificates, bracelet links, manuals, and any other items represented within the listing shall be included in the same shipment.
Where a Seller fails to include material components of the Order and such omission results in a return, cancellation, or other Buyer remedy, the Seller may be responsible for the applicable Return Processing Fee and any additional remedies authorized under this Policy.
In administering this Policy, Dialist may consider any evidence it determines relevant, including, without limitation:
Failure to preserve or produce required documentation may materially affect Dialist’s ability to investigate a transaction and may result in Dialist assigning reduced evidentiary weight to unsupported statements or allegations when making a Dialist Determination.
Buyers and Sellers shall preserve all products, packaging materials, shipping labels, accessories, documentation, photographs, video recordings, communications, carrier records, and any other evidence relating to a transaction until the applicable Return Period, dispute, investigation, insurance claim, or other proceeding has been fully resolved.
Dialist may request additional evidence at any time while administering a transaction, dispute, insurance claim, or investigation. Failure to preserve or produce requested evidence may be considered by Dialist when making any Dialist Determination under this Policy.
This Section establishes the allocation of responsibility for loss of, damage to, or destruction of products throughout the shipment, Delivery, return, and transportation process. Unless otherwise expressly provided by this Policy or required by applicable law, responsibility for risk shall transfer only as set forth herein.
Until a product has been accepted by the shipping carrier for transportation, all risk of loss, theft, damage, destruction, deterioration, or other impairment shall remain solely with the Seller.
The Seller shall remain responsible for the product while it is being stored, packaged, prepared for shipment, or otherwise maintained prior to carrier acceptance.
Upon the shipping carrier’s acceptance of the shipment, claims for loss of or damage to the shipment in transit lie against the applicable carrier, subject to the carrier’s terms, applicable insurance coverage, and governing law. As between the Buyer and the Seller, however, the Seller bears the risk of loss, theft, or damage until confirmed Delivery and remains responsible for any shortfall where a carrier or insurance claim is denied or pays less than the transaction value. This allocation is consistent with Section 4.10, under which a Buyer who has not received Delivery bears no responsibility and is refunded in full.
As full shipment insurance is mandatory under this Policy, the shipping party shall ensure that adequate insurance remains in force throughout transportation until Delivery.
Where the shipping party fails to obtain insurance covering the full transaction value, that party shall bear sole responsibility for any uninsured loss or deficiency. Dialist shall not be responsible for any uninsured portion of a shipment resulting from insufficient insurance coverage.
Upon confirmed Delivery, all risk of loss, theft, damage, misuse, deterioration, accidental damage, environmental damage, unauthorized repair, alteration, or other impairment of the product shall immediately transfer to the Buyer.
The Buyer’s assumption of risk shall not affect any rights otherwise available under the Seven-Day Return Guarantee or other provisions of this Policy.
Where Dialist authorizes a return, the Buyer shall retain responsibility for the product until the return shipment has been accepted by the applicable shipping carrier.
Upon acceptance of the return shipment by the carrier, claims for loss of or damage to the shipment during return transit lie against the applicable carrier, subject to applicable insurance coverage. As between the Buyer and the Seller, the Buyer bears the risk of loss, theft, or damage to an authorized return until confirmed Delivery to the Seller or such other recipient as Dialist designates, and remains responsible for any shortfall where a carrier or insurance claim is denied or pays less than the transaction value. Where the Buyer has complied with the return shipping, insurance, and documentation requirements of this Policy and the loss is not attributable to the Buyer, Dialist may approve the refund notwithstanding non-delivery of the return and pursue recovery from the carrier or insurer.
The Buyer shall obtain insurance covering the full transaction value of the returned product unless otherwise instructed in writing by Dialist.
Failure to obtain adequate insurance shall render the Buyer solely responsible for any uninsured loss or deficiency occurring during return shipment.
Upon confirmed Delivery of the authorized return shipment to the Seller or such other recipient designated by Dialist, responsibility for the returned product shall transfer to the Seller.
Where Dialist directs that a returned product be delivered to Dialist or another authorized inspection facility prior to final disposition, such temporary custody shall not alter the allocation of ownership or financial responsibility established under this Policy unless expressly stated otherwise by Dialist.
Nothing contained in this Policy shall limit any rights available against a shipping carrier arising from loss of, theft of, delay of, or damage to a shipment.
The party suffering the financial loss shall remain responsible for pursuing any available insurance claim or carrier claim, unless otherwise agreed in writing by Dialist.
Dialist may, but shall have no obligation to, assist either party in communicating with shipping carriers or insurance providers.
Where loss or damage results from the Buyer’s negligence, misuse, unauthorized handling, failure to comply with this Policy, or intentional misconduct following Delivery, the Buyer shall remain solely responsible for all resulting losses.
Such responsibility shall apply regardless of whether a return request has been initiated or remains pending.
Where loss or damage results from the Seller’s negligence, inadequate packaging, insufficient insurance, failure to comply with the Shipping & Delivery Requirements, Material Misrepresentation, or other breach of this Policy occurring prior to Delivery, the Seller shall remain solely responsible for all resulting losses.
Nothing contained in this Section limits Dialist’s authority to assess applicable Return Processing Fees, suspend Marketplace privileges, deny Seller payouts, or take any other action authorized under this Policy.
Except where expressly required by applicable law or expressly assumed by Dialist in writing, Dialist does not assume ownership of products, responsibility for transportation, liability for shipping losses, or financial responsibility for damage occurring during shipment or return transit.
Dialist’s administration of Secure Checkout, transaction monitoring, payment processing, return administration, dispute resolution, authentication, inspection, or any other Marketplace service shall not be interpreted as an assumption of carrier liability, shipping liability, or insurer responsibility.
Unless otherwise expressly provided by this Policy:

Every eligible product purchased through Dialist Secure Checkout is backed by the Dialist Seven-Day Return Guarantee.
The Seven-Day Return Guarantee is intended to provide Buyers with the opportunity to reasonably inspect a purchased product after Delivery while protecting the legitimate interests of Sellers and preserving the integrity of the Dialist Marketplace.
This Section governs all return requests submitted under Secure Checkout unless otherwise expressly provided by this Policy.
The Return Period begins immediately upon confirmed Delivery of the product.
The Return Period expires exactly one hundred sixty-eight (168) hours following confirmed Delivery.
Return requests submitted after expiration of the Return Period shall not be eligible for the protections afforded under this Policy unless otherwise approved by Dialist.
To initiate a return, the Buyer shall notify Dialist before expiration of the Return Period through one of Dialist’s approved support channels, including:
Submission of a return request does not itself authorize the return of the product.
No product may be returned unless Dialist has issued a Return Authorization.
Where a return request is approved, Dialist shall provide the Buyer with appropriate return instructions, which may include:
Returns shipped without Dialist’s authorization or contrary to Dialist’s instructions may be refused or deemed ineligible for refund.
Following issuance of a Return Authorization, the Buyer shall ship the authorized return within seven (7) calendar days.
A return shipment shall be deemed timely where the applicable shipping carrier accepts the shipment within the required seven-day period.
Failure to timely ship the authorized return may result in expiration of the Return Authorization and denial of the requested refund.
During the Return Period, the Buyer may conduct a reasonable inspection of the product for the purpose of evaluating whether to retain ownership.
Reasonable inspection may include, where performed responsibly and without causing damage:
The Seven-Day Return Guarantee exists to permit reasonable inspection and evaluation of a luxury timepiece and is not intended to facilitate temporary ownership, unrestricted use, or abuse of Marketplace protections.
During the Return Period, the Buyer shall not:
Violation of this Section may result in denial of the requested refund.
Prior to shipment, every Seller shall maintain documentation reasonably demonstrating the timekeeping performance of the product.
Dialist may consider such documentation when evaluating return requests involving allegations relating to mechanical performance or timekeeping.
Following submission of a return request, all communications regarding the return shall be conducted through Dialist.
Neither the Buyer nor the Seller shall attempt to negotiate, settle, modify, or otherwise resolve the return directly without Dialist’s knowledge or authorization.
Nothing in this Section prohibits ordinary communications unrelated to the administration of the return where otherwise permitted by Dialist.
Authorized return shipments shall comply with the Shipping & Delivery Requirements established under this Policy.
The Buyer shall:
Where the Buyer is unable to independently obtain an appropriate shipping label, Dialist may assist the Buyer or Seller in obtaining one. Any associated shipping costs shall remain the responsibility of the applicable shipping party unless otherwise determined by Dialist.
Every returned product shall undergo inspection by Dialist.
Inspection may include, without limitation:
Dialist may partially disassemble a returned watch where reasonably necessary to complete Authentication or Inspection.
A returned product may qualify for a refund where Dialist determines that:
Approval of a return remains subject to a Dialist Determination.
A Buyer may return an eligible product because the Buyer:
Buyer Convenience Returns remain subject to the applicable Return Processing Fee.
Where Dialist determines that a return results from:
the Buyer shall not be responsible for the Return Processing Fee.
The Seller shall remain responsible for the applicable Return Processing Fee and any additional remedies authorized under this Policy.
Where Dialist determines that a product is counterfeit or otherwise fails Authentication, Dialist may:
Where Dialist determines that a returned product no longer qualifies for a refund due to Buyer conduct, damage, unauthorized modification, prohibited use, policy violations, or any other circumstance rendering the return ineligible, Dialist may deny the requested refund.
Where a refund is denied, ownership of the product shall remain with the Buyer.
The Buyer shall be responsible for all costs associated with returning the product to the Buyer, including shipping, insurance, and any other applicable charges.
Approved refunds shall be processed within five (5) Business Days following completion of Dialist’s Inspection and Authentication procedures.
Processing times imposed by financial institutions or Payment Processors remain outside Dialist’s control.
Nothing contained in this Section limits Dialist’s authority to make Dialist Determinations, request additional evidence, deny fraudulent or abusive claims, suspend transactions, assess applicable fees, or exercise any other rights available under this Policy or applicable law.
A Buyer who discovers or reasonably suspects that a delivered product is not authentic after the Return Period has expired may report the matter to Dialist. Dialist will investigate the report, including by seeking authentication records and other evidence from the Seller.
Except as provided by the Dialist Authenticity Guarantee in Section 14, which applies to all Secure Checkout purchases, Dialist has no obligation under this Section 6 to approve a refund for a claim submitted after expiration of the Return Period. Any refund approved in connection with such a claim is granted entirely at Dialist's discretion and does not create an ongoing practice, obligation, or precedent binding Dialist in any other matter.
This Section does not limit any right or remedy a Buyer may independently have against the Seller or under applicable law, nor does it limit Dialist's rights under Section 10 (Marketplace Integrity, Fraud Prevention & Enforcement).
Refunds approved under this Policy shall be administered by Dialist in accordance with this Section.
Approval of a refund remains subject to a Dialist Determination following completion of all required Authentication, Inspection, and administrative procedures.
Unless otherwise required by applicable law or the applicable Payment Processor, approved refunds shall be issued to the original payment method used to complete the transaction.
Where the original payment method is unavailable or incapable of accepting the refund, Dialist may utilize another lawful refund method reasonably determined by Dialist.
Refunds shall be issued in the same currency in which the Buyer originally completed the transaction.
Dialist shall not be responsible for fluctuations in exchange rates, foreign transaction fees, or charges imposed by financial institutions.
Approved refunds shall be initiated within five (5) Business Days following completion of Dialist’s Authentication, Inspection, and approval procedures.
Actual receipt of refunded funds remains subject to the processing times of the applicable Payment Processor, financial institution, card issuer, or banking network.
Dialist shall not be responsible for delays occurring after the refund has been properly initiated.
Unless otherwise expressly required by applicable law or expressly approved by Dialist, the following amounts are non-refundable:
Where applicable, Buyers may independently seek refunds, credits, reimbursements, or adjustments directly from the applicable governmental authority or other responsible third party.
Certain returns, cancellations, or other transactions identified under this Policy are subject to a Return Processing Fee of up to four and nine-tenths percent (4.9%) of the total transaction value, determined in accordance with the definition of that term.
The Return Processing Fee is an administrative fee intended to compensate Dialist for payment processing costs, refund administration, transaction handling, operational expenses, fraud monitoring, customer support, and other administrative services associated with the transaction.
The Return Processing Fee is not intended to operate as a penalty.
Responsibility for the Return Processing Fee shall be determined in accordance with this Policy.
Without limitation:
Where a Buyer is responsible for the Return Processing Fee, the fee is deducted from the Buyer’s refund, and the refund statement shows the deduction as a separate line; the Buyer is not charged separately. Where a Seller is responsible for the Return Processing Fee, Dialist collects it by deduction from amounts otherwise payable to the Seller, and issues the Seller an invoice recording the amount deducted; where no such amounts are available, Dialist may invoice the Seller directly.
Failure by a Seller to timely pay an invoiced Return Processing Fee constitutes a violation of this Policy and may result in suspension of Marketplace privileges, delayed payouts, account restrictions, collections activity, legal action, or any other remedy available under this Policy.
Where Seller funds have already been released and Dialist subsequently determines that a refund, reimbursement, reversal, or other financial adjustment is required under this Policy, Dialist reserves the right to recover the applicable amounts from the Seller.
Recovery may occur through direct reimbursement, invoicing, offset, deduction from future payouts, or any other lawful recovery method available to Dialist.
Where a Buyer or Seller owes amounts to Dialist exceeding available account balances or pending payouts, Dialist may:

Nothing contained in this Policy obligates Dialist to approve a partial refund in any particular circumstance.
Buyers and Sellers remain solely responsible for all taxes, duties, governmental charges, reporting obligations, and other financial obligations imposed by applicable law unless expressly required otherwise.
Dialist does not provide tax advice.
Where Dialist determines that a refund, reimbursement, or other payment was obtained through fraud, Material Misrepresentation, deception, abuse of this Policy, or other improper conduct, Dialist reserves the right to recover such funds by any lawful means available.
Such recovery may include, without limitation:
Nothing contained herein limits Dialist’s ability to suspend or terminate Marketplace privileges or pursue additional remedies arising from fraudulent conduct.
Dialist may offset any amount owed to Dialist under this Policy against any amount otherwise payable by Dialist to the applicable Buyer or Seller.
Without limitation, Dialist may offset against:
Where any Buyer or Seller fails to satisfy a financial obligation owed to Dialist under this Policy, Dialist may recover all reasonable costs incurred in collecting such amounts, including administrative expenses, collection agency fees, court costs, legal fees where recoverable under applicable law, and other reasonable collection expenses.
Funds held by Dialist’s Payment Processor in connection with Secure Checkout, pending refunds, Seller payouts, disputes, investigations, or any other transaction administered under this Policy shall not accrue interest payable to any Buyer or Seller unless otherwise expressly required by applicable law.
Termination, suspension, cancellation, expiration, or closure of a Dialist account shall not extinguish any financial obligation arising prior to such event.
All unpaid Return Processing Fees, refunds, reimbursements, offsets, indemnification obligations, chargebacks, collection costs, and any other amounts owed under this Policy shall survive termination until fully satisfied.
Dialist’s failure to assess, collect, invoice, recover, or otherwise enforce any financial obligation in any particular instance shall not constitute a waiver of Dialist’s right to enforce such obligation in any future instance.
Nothing contained herein limits Dialist’s ability to waive any fee or financial obligation in its sole discretion.
This Section establishes the procedures governing disputes arising from transactions completed through Dialist Secure Checkout and the process by which Dialist conducts investigations and makes Dialist Determinations.
Dialist shall administer all investigations in good faith while considering the totality of the information reasonably available at the time of the investigation.
Dialist may initiate an investigation whenever it reasonably determines that a transaction requires further review, including, without limitation, where there are allegations of:
Dialist may also initiate an investigation on its own initiative without a request from either party.
In making any Dialist Determination, Dialist shall evaluate the totality of the information reasonably available at the time of the investigation.
Dialist shall conduct investigations in good faith and may consider the reliability, credibility, relevance, completeness, and consistency of all available evidence.
Dialist shall not be required to establish liability beyond a reasonable doubt or apply formal judicial rules of evidence.
In conducting an investigation, Dialist may consider any evidence it determines relevant, including, without limitation:
The absence of any particular category of evidence shall not prevent Dialist from making a Dialist Determination.
During an investigation, Dialist may require any Buyer, Seller, or other participating party to provide additional information or documentation.
Requested information may include, without limitation:
Unless otherwise specified by Dialist, requested information shall be provided within forty-eight (48) hours of the request.
Where a party fails to provide requested information within the applicable timeframe or otherwise fails to reasonably cooperate with an investigation, Dialist may proceed based upon the information then available.
Failure to cooperate shall not automatically determine the outcome of an investigation but may be considered by Dialist when evaluating the credibility, completeness, or reliability of the available evidence.
Dialist may appoint one or more independent experts, watchmakers, service centres, manufacturers, authentication providers, consultants, or other qualified professionals to assist in the investigation of any transaction.
Dialist may rely upon such opinions in whole or in part when making a Dialist Determination.
Where a Buyer or Seller requests an additional inspection, Authentication, expert opinion, or independent evaluation beyond that otherwise required by this Policy, the requesting party shall initially bear the associated costs unless Dialist determines otherwise.
Nothing contained herein obligates Dialist to obtain additional expert opinions where Dialist determines that sufficient evidence already exists.
Every investigation is unique.
Accordingly, Dialist shall not be bound by any fixed investigation period, but will use commercially reasonable efforts to complete each investigation within thirty (30) days of initiating it and will keep the affected Buyer and Seller informed of its status where an investigation extends beyond that period.
During the pendency of an investigation, Dialist may temporarily suspend or delay:
Such administrative actions shall not constitute a determination regarding liability or responsibility.
Except where a chargeback or payment dispute remains pending before a Payment Processor, or where a legal hold, court order, regulatory requirement, or applicable law requires otherwise, Dialist will not withhold Seller payouts under this Section for longer than ninety (90) days from the date the hold was first applied.
Dialist may maintain the confidentiality of any investigation, Authentication, internal analysis, fraud detection methodology, risk assessment, security procedure, or other non-public information used in administering this Policy.
Nothing in this Policy requires Dialist to disclose internal investigative procedures, proprietary methodologies, security measures, fraud prevention techniques, or confidential information relating to another party.
Sellers are required to maintain and preserve all documentation required under this Policy and any other applicable Dialist agreement.
Where a Seller fails to produce mandatory documentation, including required photographs, packaging videos, condition videos, Authentication records, or other required evidence, Dialist may:
Buyers and Sellers shall preserve all evidence relating to any disputed transaction until the investigation has concluded.
Modification, destruction, alteration, concealment, deletion, or failure to preserve relevant evidence may be considered by Dialist when evaluating the reliability of the available evidence and making a Dialist Determination.
Where Dialist determines that a party has made false, misleading, inconsistent, or incomplete statements during an investigation, Dialist may consider such conduct when assessing the credibility of that party and evaluating the totality of the available evidence.
Following completion of an investigation, Dialist shall issue a Dialist Determination based upon the totality of the information reasonably available.
A Dialist Determination may include, without limitation:
Unless otherwise required by applicable law, every Dialist Determination shall be final and binding for purposes of administering the Dialist Marketplace and this Policy.
Nothing contained herein limits any legal rights or remedies otherwise available to any party under applicable law.
This Section governs payment disputes, chargebacks, payment reversals, and related financial disputes arising from transactions completed through Dialist Secure Checkout.
Nothing contained in this Section limits the authority of any applicable Payment Processor, financial institution, card issuer, banking network, governmental authority, or other entity possessing legal authority over payment disputes.
Before initiating a chargeback or payment dispute with a Payment Processor or financial institution, the Buyer shall first contact Dialist through its official support channels and provide Dialist with a reasonable opportunity to resolve the matter under this Policy.
Initiating a chargeback without first contacting Dialist may be considered abuse of this Policy and may be considered by Dialist when making any Dialist Determination.
Where a return request, refund request, or investigation is already pending, the Buyer shall not initiate a chargeback concerning the same transaction without first notifying Dialist.
A chargeback initiated while a return, refund, or investigation is pending may be considered abuse of the protections afforded under this Policy.
Where a chargeback or payment dispute arises, the Seller shall fully cooperate with Dialist.
Upon request, the Seller shall provide all requested information within forty-eight (48) hours, including, where applicable:
Where a Seller fails to cooperate or fails to provide requested information within the required timeframe, Dialist may:
Responsibility for chargeback-related losses, fees, and expenses shall be allocated based upon the circumstances of the transaction and the applicable Dialist Determination.
Without limitation:
Where a Seller has fully complied with this Policy and all reasonable requests made by Dialist during the transaction and investigation, and the evidence produced by the Seller does not establish Seller fault, the Seller shall receive or retain the applicable payout notwithstanding an adverse decision made by a Payment Processor.
For clarity, producing the required documentation satisfies the Seller’s evidentiary obligations but does not by itself entitle the Seller to protection under this Section. Where the documentation produced confirms the Buyer’s claim, or otherwise establishes Material Misrepresentation, breach of the Shipping & Delivery Requirements, or other Seller fault, the Seller remains responsible for the resulting loss.
Nothing in this Section entitles a Seller to receive or retain a payout where the Seller failed to comply with applicable Dialist policies or agreements.
During the pendency of any chargeback or payment dispute, Dialist may temporarily:

Where Dialist determines that a Buyer has fraudulently initiated a chargeback or otherwise improperly retained both the purchased product and refunded funds, Dialist may:

Where duplicate recovery occurs, Dialist reserves the right to recover any duplicate payment by any lawful means available.
Where Dialist determines that a Buyer has engaged in repeated, excessive, abusive, or fraudulent chargeback activity, Dialist may:
Where a chargeback remains pending before a Payment Processor or financial institution, Dialist may suspend or delay any voluntary refund relating to the same transaction until the chargeback has been fully resolved.
This Section is intended to prevent duplicate recoveries and preserve the integrity of the Secure Checkout process.
Nothing contained in this Section limits Dialist’s right to pursue reimbursement, indemnification, recovery, legal proceedings, or any other remedy against the party responsible for a chargeback, payment reversal, or related financial loss.
Such rights shall survive regardless of any determination made by a Payment Processor, financial institution, banking network, or governmental authority.
Dialist acknowledges that Payment Processors, financial institutions, card issuers, and banking networks may independently determine the outcome of chargebacks and payment disputes pursuant to their own rules and procedures.
Such determinations shall not limit Dialist’s contractual rights or remedies against any Buyer or Seller under this Policy.
The obligations contained within this Section shall survive the completion of any transaction, account suspension, account termination, cancellation of Marketplace participation, or expiration of this Policy to the extent necessary to resolve outstanding payment disputes, recover financial losses, or enforce Dialist’s rights.
Dialist is committed to maintaining a secure, transparent, and trustworthy Marketplace for Buyers, Sellers, and all Marketplace participants.
This Section establishes the standards of conduct applicable to all users of Dialist Secure Checkout and the enforcement measures available to Dialist to preserve the integrity, security, and reputation of the Marketplace.
Every Buyer, Seller, and Marketplace participant shall act honestly, accurately, and in good faith when using the Marketplace.
Without limitation, every participant agrees to:
Failure to comply with this Section may be considered by Dialist when making any Dialist Determination.
The following conduct is strictly prohibited:
Dialist may suspend, delay, investigate, restrict, or refuse to complete any transaction where Dialist reasonably suspects fraud, criminal activity, policy violations, suspicious conduct, or any activity that may compromise the integrity or security of the Marketplace.
Dialist is not required to establish that fraud or misconduct has occurred before taking reasonable protective action.
Dialist may require any Buyer, Seller, or Marketplace participant to provide additional verification at any time.
Such verification may include, without limitation:
Where a participant refuses or fails to provide requested verification or documentation within the timeframe specified by Dialist, Dialist may, without limitation:
Dialist maintains a zero-tolerance policy regarding counterfeit products.
Where Dialist reasonably determines that a product is counterfeit or otherwise fails Authentication, Dialist may:
Where Dialist reasonably believes that a product may be stolen, unlawfully possessed, or otherwise subject to criminal investigation, Dialist may:
Nothing in this Policy obligates Dialist to release funds or facilitate a transaction where ownership of a product remains reasonably in dispute.
All Marketplace participants shall comply with Dialist’s internal anti-money-laundering program, sanctions screening procedures, identity verification requirements, and all other applicable compliance policies.
Dialist reserves the right to refuse, suspend, delay, or terminate any transaction or Marketplace activity necessary to comply with applicable laws, regulations, sanctions, regulatory obligations, Payment Processor requirements, or Dialist’s internal compliance procedures.
Buyers and Sellers shall not intentionally bypass or attempt to bypass Dialist Secure Checkout for the purpose of avoiding Marketplace fees, policies, transaction monitoring, Buyer protections, Seller protections, or other Marketplace requirements.
Circumvention of Dialist Secure Checkout constitutes a material violation of this Policy and may result in suspension, termination, financial liability, or other enforcement action.
Marketplace participants shall not engage in conduct intended to manipulate or undermine the integrity of the Marketplace, including:
Dialist reserves the right to refuse, suspend, restrict, delay, or terminate any transaction or Marketplace activity where reasonably necessary to comply with applicable laws, sanctions, export controls, court orders, governmental requests, regulatory obligations, or Payment Processor requirements.
Where Dialist reasonably determines that immediate action is necessary to protect the Marketplace, Buyers, Sellers, or the public, Dialist may immediately, with or without prior notice:
Such action shall not constitute a final determination regarding responsibility or liability.
Depending upon the circumstances, Dialist may impose one or more of the following enforcement measures:
Dialist may determine the appropriate enforcement measure based upon the nature, severity, frequency, and impact of the conduct.
Repeated violations of this Policy or any single violation that Dialist reasonably considers serious may result in permanent removal from the Marketplace.
Permanent removal may include termination of Marketplace privileges, cancellation of active listings, suspension of future participation, and any additional action authorized under this Policy.
Nothing contained in this Section limits Dialist’s authority to investigate Marketplace activity, cooperate with governmental authorities, exercise any right available under this Policy, or take any action reasonably necessary to protect the Marketplace, its users, or the public.
This Section establishes Dialist’s authority to administer the Marketplace, interpret this Policy, protect Marketplace participants, ensure regulatory compliance, and maintain the integrity, security, and efficient operation of Dialist Secure Checkout.
Nothing contained in this Section limits any additional authority expressly granted to Dialist elsewhere in this Policy or under applicable law.
Dialist shall exercise the rights, authority, and discretion granted under this Policy in good faith and in a commercially reasonable manner based upon the information reasonably available at the time.
Nothing contained herein obligates Dialist to reach any particular outcome where multiple reasonable courses of action exist.
Dialist may administer, supervise, interpret, and enforce this Policy and all Secure Checkout transactions.
Without limitation, Dialist may:
Dialist reserves the right to correct clerical, administrative, pricing, technical, payment, listing, or system errors discovered before, during, or after a transaction.
Where correction of an error materially affects a transaction, Dialist may take any reasonable action necessary to fairly administer the transaction, including cancellation or modification where appropriate.
Dialist may request additional documentation or information whenever reasonably necessary to administer a transaction or comply with applicable law.
Failure to provide requested information may result in delayed transactions, delayed payouts, delayed refunds, suspension of Marketplace privileges, or any other action authorized under this Policy.
Dialist may temporarily suspend, delay, restrict, or modify any Marketplace activity where reasonably necessary to:
Temporary administrative action shall not, by itself, constitute a finding of fault or liability.
Dialist may modify internal operational procedures, administrative processes, technical systems, authentication procedures, inspection procedures, shipping requirements, fraud prevention measures, and other operational practices from time to time, provided such modifications remain consistent with this Policy and applicable law.
Dialist may waive or modify procedural requirements under this Policy in exceptional circumstances where doing so is fair, reasonable, and consistent with the objectives of Secure Checkout.
Any waiver granted in one instance shall not create an obligation to grant the same or similar waiver in any future matter.
Dialist may take any action reasonably necessary to comply with applicable laws, regulations, court orders, governmental requests, sanctions, Payment Processor requirements, or other legal obligations.
The rights and authority granted to Dialist under this Policy are cumulative and in addition to any other rights or remedies available under the Dialist Terms & Conditions, other applicable Dialist agreements, or applicable law.
Failure by Dialist to exercise any right under this Policy shall not constitute a waiver of that right.
This Section allocates certain risks associated with the use of Dialist Secure Checkout and establishes the respective responsibilities of Buyers, Sellers, and Dialist.
Nothing contained in this Section limits any rights that cannot be excluded or limited under applicable law.
Except where Dialist is expressly identified as the Seller or Merchant of Record, Dialist acts solely as the operator of the Marketplace and administrator of Secure Checkout.
For Dealer-owned inventory, Dialist facilitates Marketplace transactions, payment administration, Authentication, Inspection, returns, dispute resolution, and related administrative services, but does not take ownership of Dealer inventory or become the contracting seller solely by facilitating the transaction.
Where Dialist is the Merchant of Record or Seller, Dialist’s obligations shall be limited to those expressly set forth in this Policy and the applicable transaction.
Authentication performed by Dialist represents a good-faith professional opinion based upon the information, documentation, examination, expertise, and procedures reasonably available at the time of Authentication.
Authentication does not constitute a guarantee, warranty, certification, insurance, or absolute representation that a product is authentic, original, free from replacement components, free from hidden defects, or otherwise free from conditions that were not reasonably detectable at the time of examination.
Except as expressly provided in this Policy or where otherwise required by applicable law, Dialist makes no representations or warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, or error-free operation.
Nothing in this Section limits any manufacturer’s warranty or any warranty independently provided by a Seller.
Dialist utilizes third-party service providers in connection with Secure Checkout, including Payment Processors, shipping carriers, insurers, authentication providers, communication providers, and technology vendors.
Dialist is not responsible for delays, interruptions, errors, omissions, failures, or decisions made by independent third-party service providers beyond Dialist’s reasonable control.
Dialist is not the shipping carrier and does not guarantee shipping performance, delivery times, insurance coverage, package handling, customs processing, or the performance of any carrier utilized by a Buyer or Seller.
Carrier-related claims shall remain subject to the applicable carrier’s terms and conditions and applicable insurance coverage.
Dialist does not guarantee that the Marketplace, Secure Checkout, or any related service will operate continuously, without interruption, without delay, or without technical errors.
Dialist may suspend, modify, update, maintain, or temporarily disable Marketplace functionality where reasonably necessary.
Dialist makes no representation regarding the future market value, appreciation, depreciation, investment potential, collectability, desirability, or resale value of any product offered through the Marketplace.
Buyers remain solely responsible for their purchasing decisions.
Information made available through the Marketplace, including Authentication, product descriptions, opinions, educational materials, communications, or other content, is provided solely for general informational purposes unless expressly stated otherwise.
Nothing contained within the Marketplace constitutes legal, financial, tax, investment, or professional advice.
To the fullest extent permitted by applicable law, Dialist shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or similar damages arising out of or relating to:
Except for amounts payable under the Dialist Authenticity Guarantee in Section 14, which are governed exclusively by the limits stated in that Section, and to the fullest extent permitted by applicable law, Dialist's aggregate liability arising from any single Secure Checkout transaction shall not exceed the greater of (a) the total fees actually received by Dialist in connection with that transaction, or (b) twenty-four thousand nine hundred ninety-nine United States dollars (USD $24,999). Where a claim does not arise from a single identifiable Secure Checkout transaction, Dialist's aggregate liability shall not exceed twenty-four thousand nine hundred ninety-nine United States dollars (USD $24,999).
Nothing contained herein limits liability that cannot lawfully be excluded or limited under applicable law.

To the fullest extent permitted by applicable law, each Buyer and Seller agrees to defend, indemnify, and hold harmless Dialist, its affiliates, directors, officers, employees, contractors, representatives, successors, and assigns from and against any claims, liabilities, damages, judgments, penalties, losses, costs, and expenses, including reasonable legal fees where recoverable under applicable law, arising from or relating to:
The defense, settlement, and reimbursement provisions of Section 16 of the Dialist Terms & Conditions apply to indemnification claims under this Policy and are incorporated by reference.
A Buyer's or Seller's indemnification obligations under this Section shall be reduced in proportion to the extent that a Claim is finally determined by a court of competent jurisdiction to have arisen from Dialist's fraud, gross negligence, willful misconduct, or any other liability that cannot lawfully be excluded or limited under applicable law.
Dialist shall indemnify, defend, and hold the applicable Buyer or Seller harmless from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from a third party's claim against them to the extent finally determined by a court of competent jurisdiction to result from Dialist's fraud, gross negligence, or willful misconduct.
Dialist shall not be responsible for any delay, interruption, or failure to perform arising from circumstances beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, governmental action, sanctions, pandemics, public emergencies, cyberattacks, internet failures, utility interruptions, Payment Processor failures, carrier disruptions, or other force majeure events.
Dialist shall resume normal operations as soon as reasonably practicable following the cessation of the applicable event.
The provisions contained in this Section shall survive completion of a transaction, refunds, Seller payouts, account suspension, account termination, cancellation of Marketplace participation, and termination of this Policy to the extent necessary to protect the rights and obligations of the parties.
This Policy forms an integral part of the Dialist Terms & Conditions and is incorporated therein by reference. The collection, use, disclosure, and protection of Personal Information processed through Secure Checkout is governed by the Dialist Privacy Policy, which is incorporated into this Policy by reference.
Except where this Policy expressly provides otherwise with respect to Secure Checkout transactions, the Dialist Terms & Conditions shall continue to apply to all use of the Marketplace.
This Policy governs Buyer-facing transaction mechanics and matters of general application to Secure Checkout transactions.
Where a conflict exists between this Policy and the Dialist Terms & Conditions solely with respect to matters governed by Secure Checkout, this Policy shall govern to the extent of such conflict.
Each Buyer accepts this Policy by ticking the Secure Checkout & Return Policy acceptance box presented at checkout before payment; each Seller accepts it as part of its Dialist agreements. By so accepting, completing a transaction through Dialist Secure Checkout, or otherwise using Secure Checkout, each Buyer and Seller acknowledges that they have read, understood, and agree to be legally bound by this Policy.
Electronic acceptance shall have the same legal force and effect as a handwritten signature to the fullest extent permitted by applicable law.
By using Secure Checkout, Buyers and Sellers consent to receive communications from Dialist electronically, including by email, Marketplace notifications, telephone, SMS, WhatsApp, or other communication methods utilized by Dialist.
Electronic communications satisfy any legal requirement that such communications be provided in writing where permitted by applicable law.
Dialist reserves the right to modify this Policy from time to time.
Material modifications shall become effective upon publication or upon such later effective date as specified by Dialist. Where a change materially and adversely affects existing Buyers or Sellers, including an increase in fees, a reduction in return or refund rights, or a new or expanded limitation of liability, Dialist will provide at least thirty (30) days' advance notice by email describing the specific change, and by posting a summary of the change on Dialist's website or within the Marketplace, before it becomes effective for existing Buyers or Sellers. Such notice is deemed given on the date sent, regardless of whether the applicable Buyer or Seller actually receives, opens, or reviews it. Buyers and Sellers are responsible for maintaining a current, monitored email address on their account, and Dialist's transmission of notice to the address on file constitutes adequate notice under this Section.
Where required, continued use of Secure Checkout following a material amendment may require renewed acceptance of the updated Policy.
If any provision of this Policy is determined by a court or other competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by applicable law.
Buyers and Sellers may not assign, transfer, delegate, or otherwise dispose of any rights or obligations arising under this Policy without Dialist’s prior written consent.
Dialist may assign or transfer its rights or obligations under this Policy in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or other legitimate business purpose.
Except where expressly stated otherwise, this Policy is intended solely for the benefit of the parties and shall not create any rights or remedies in favour of any third party.
This Policy shall be governed by and interpreted in accordance with the governing law provisions contained within the Dialist Terms & Conditions, which are incorporated into this Policy by reference.
Any dispute arising under or relating to this Policy shall be subject to the dispute resolution procedures contained within the Dialist Terms & Conditions unless otherwise required by applicable law.

The Dialist Authenticity Guarantee is a separate benefit provided by Dialist to Buyers, in addition to and independent of the Seven-Day Return Guarantee described in Section 6 and the general Limitation of Liability described in Section 12. It provides limited financial protection where a product covered under this Section is later determined not to be authentic.
This Guarantee applies to every product purchased through Dialist Secure Checkout, whether sold through the Dialist Official Account, consigned to Dialist for sale, or listed by a Dealer, and whether or not the product was separately inspected by Dialist before sale.
For the purposes of this Guarantee, a product is not authentic where the watch, or any component of it, is counterfeit or has been replaced with a component that is not genuine to the watch as described, or where any warranty card, certificate, papers, presentation box, or other accompanying item represented in the listing is counterfeit or falsified. A claim relating to any of these is an authenticity claim under this Section and is handled under this Guarantee.
Where a Buyer asserts that a product is not authentic, the product must be shipped to Dialist, and not to the Seller, for inspection and investigation before any refund or payment is approved. Dialist will issue a prepaid, insured return label for that purpose. Dialist compares the returned product against the authentication, condition and shipping evidence recorded before the product was despatched, including movement photographs, serial and reference records, and the packaging and hand-over recording.
Where Dialist determines that the product returned is not the product that was despatched, or that the product has been opened, altered, serviced, substituted or otherwise tampered with while in the Buyer’s possession — including the substitution or removal of a movement, dial, hands, bezel, bracelet, caseback or other component — no refund or payment is payable under this Guarantee or under Section 6, the product is returned to the Buyer, and Dialist may treat the claim as a fraudulent claim under Section 10.
Where Dialist supplies a security tag or other tamper-evident device with a product, the tag must remain attached and intact. A product returned with a tag that is missing, broken, detached or altered is not eligible for a refund or for payment under this Guarantee, and Dialist may treat the claim as a fraudulent claim under Section 10.
Dialist determines, acting in good faith and on the basis of the information reasonably available to it, whether a product is authentic and whether it has been tampered with. Where Dialist determines that a covered product is not authentic and has not been tampered with by the Buyer, payment under this Guarantee follows and is not discretionary.
This Guarantee does not apply to private or off-platform transactions, transactions conducted through the Dialist Private Exchange, or any other transaction not completed through Dialist Secure Checkout.
Whether a product was separately inspected by Dialist before sale does not affect the Buyer’s protection under this Guarantee.
Where Dialist determines that a covered product is not authentic, Dialist will pay the affected Buyer an amount equal to the price paid for the product, up to a maximum of one hundred thousand United States dollars (USD $100,000) per claim.
Dialist's total payments to any one person under this Guarantee, across all claims made over time, shall not exceed one hundred thousand United States dollars (USD $100,000) in the aggregate.
A Buyer who believes a covered product is not authentic must notify Dialist promptly after discovering the issue and provide the product to Dialist, or a facility designated by Dialist, for Authentication.
Dialist shall have no obligation under this Guarantee where a claim is submitted more than two (2) years following confirmed Delivery of the product.
This Guarantee does not apply where:
the product was serviced, repaired, modified, or altered by anyone other than Dialist or a service provider authorized by Dialist following Delivery;
the claim results from ordinary wear, damage, or misuse occurring after Delivery;
the Buyer is unable to return the product or provide it to Dialist for Authentication; or
Dialist determines that the claim is fraudulent or submitted in bad faith.
Where Dialist determines that a Buyer has submitted a fraudulent or bad-faith claim under this Guarantee, Dialist may deny the claim and pursue any remedy available under Section 10 (Marketplace Integrity, Fraud Prevention & Enforcement) or applicable law.
Where a product fails Authentication within the Return Period described in Section 6, the Seven-Day Return Guarantee governs and this Guarantee does not separately apply.
Payment under this Guarantee is Dialist's sole obligation with respect to the authenticity of the covered product and does not entitle the Buyer to any additional recovery for the same claim under Section 6 or Section 12.
This Guarantee is a separate, affirmative benefit and does not increase, decrease, or otherwise affect the Limitation of Liability set out in Section 12, which continues to apply to all claims not covered by this Guarantee, including claims relating to chargebacks, payment disputes, shipping, or any other matter not arising from a determination of inauthenticity under this Section, and is not subject to the limitation of liability in Section 14 of the Dialist Terms & Conditions.
All determinations regarding authenticity, eligibility, and payment under this Guarantee shall be made by Dialist in accordance with Section 8 (Disputes, Investigations & Dialist Determinations) and shall be final and binding for purposes of administering this Guarantee, without limiting any legal rights or remedies otherwise available under applicable law.
